Richard C.E. Morgan

Richard C.E. Morgan is Chief Executive Officer of Amphion Innovations plc. He was a founder and CEO of Amphion Capital Partners LLC and was a founder and CEO of VennWorks LLC. Mr. Morgan is also the managing general partner of Amphion Partners LLC (formerly known as Wolfensohn Partners, LP).

Before joining Wolfensohn, he spent 15 years with the Schroders plc, most recently as managing director of J. Henry Schroder Wagg and Co. (a British merchant bank), where, as chairman of the Investment Committee, he supervised the management of over $50 billion in investment assets. He was also founder and leader of The Schroder Strategy Group, which gave strategic and financial advice to over one hundred corporations around the world.

In the course of his career, Mr. Morgan has been directly involved in the start-up and development of more than 30 companies in the information technology, healthcare and biotechnology industries, including: MediSense, Sequus Pharmaceuticals, Celgene, Quidel and Vortech Data.

Mr. Morgan currently serves as Chairman of the Board and Chairman of the Compensation Committee for Axcess International. Mr. Morgan serves on the Board of Directors of Celgene Corporation (NASDAQ: CELG) and several other private companies. He is also a member of the board of ORBIS International, Inc.

A British citizen, Mr. Morgan was raised in Kenya and educated in England. He graduated with a B. Engineering (First Class Honours) from the University of Auckland, New Zealand and won an Open Scholarship to undertake a two-year postgraduate research program in engineering and material science. In 1982, he completed the Advanced Management Program at the Harvard Business School.

Allan Griebenow, President and Chief Executive Officer of Axcess International, Inc. joined Axcess in 1999 as a part of the Prism Video acquisition where he was founder and Chief Executive Officer since 1994. Prior to Prism Video, Mr. Griebenow was President and Chief Executive Officer of Vortech Data Inc. before its acquisition by Eastman Kodak. Mr. Griebenow began his career in 1979 as a Presidential Management Intern with NASA and has since accumulated more than 20 years of experience in telecommunications and advanced applications. Griebenow received a B.S. degree in business administration from the University of Maryland and earned an MBA from San Francisco State University.

Paul J. Coleman, Jr. has served as a director of Axcess International Inc since 1982. He is President and CEO of the Girvan Institute of Technology, a non-profit, public benefit corporation engaged in research, technology development, and education related to high-technology enterprise. Dr. Coleman is an emeritus professor of space physics at the University of California at Los Angeles (“UCLA”). He is currently serves as a director of Knowledge Vector, Inc., Girvan Ventures Moffett Management Pvt. Ltd., and the Universities Space Research Association (USRA). He is a former director of CACI International, Fairchild Space and Defense Corporation, the Las Alamos National Laboratory; president and CEO of USRA, (managing) director of the Institute of Geophysics and Planetary Physics at UCSL; and (managing) director of the National Institute for Global Environmental Change of the U.S. Department of Energy.

Robert F. Hussey has served on the Board since September 2002. Mr. Hussey served as interim President, CEO and Director of Digital Lightwave, Inc. From 1985 to 1991 Mr. Hussey was the founder, President & CEO of POP Radio Corp. Following that, from 1991 to 1996 he was President of Metrovision,Inc, a site-based cable network operating in five of the largest US city markets. Prior to POP Radio, Mr. Hussey worked at Grey Advertising, Inc., E.F. Hutton and American Home Products, Inc. Mr. Hussey received a BSBA in Management from Georgetown University and an MBA in International Business from George Washington University. Bob was a First Team 1970 Club Football All American. He is a member of Georgetown University's Board of Regents.

Robert J. Bertoldi is President and Chief Financial Officer of Amphion Innovations plc. He was also a co-founder, President and CFO of Amphion Capital Partners LLC. Mr. Bertoldi is also a Co-founder of VennWorks LLC and is Managing Member of Amphion Partners LLC the General Partner of Amphion Ventures L.P. Prior to founding VennWorks and Amphion, Mr. Bertoldi served as Chief Financial Officer for James D. Wolfensohn, Inc. and Hambro America Inc.

Mr. Bertoldi has over 20 years experience in the venture capital industry. He has been directly involved in raising and investing over $250 million in venture capital funds. Mr. Bertoldi has extensive knowledge of deal structuring, mergers and acquisitions, divestitures, debt restructuring, public offerings, and work-outs.

He has launched numerous start-up operations in the technology and life science sector and has served on the Board of many of these companies. He currently is an active member of the Board of Axcess International, Inc. (OTC: AXSI), serves as Chairman of m2m Imaging Corporation, and is a member of the board of WellGen, Inc.

Mr. Bertoldi received a B.A. in Accounting and Economics from Queens College in 1976 and became a Certified Public Accountant in 1978. He is a member of the New York State Society of Certified Public Accountants and the American Institute of Certified Public Accountants.
